How Western M&A Sells Your Business

Our process begins with an Investigative consultation session, setting the overall investment plan (also known as the “investment thesis”). We then create high quality marketing materials and engage our expansive network of strategic and private equity buyers to engage in a competitive process. We utilize industry best practices customized to your  transaction requirements to negotiate the best terms, and then we work collectively with other services providers (i.e. CPA, attorneys) to get the deal closed.

    • Introduce your business and your goals to us

    • We introduce ourselves and discuss the M&A process

    • Using company reports, conversations and our market research, create a Market Value Study for your business

    • We review the outcome of the study including potential buyer types and a price range we expect that the market can support

    • Plan next steps

    • Collect and organize your company data in our secure data room

    • Build marketing materials

    • Establish the team;  Intermediaries (us), seller, transaction attorney and CPA

    • Create an auction-like environment to select the best buyer for you and your business

    • Initial outreach with a blind (anonymized) teaser about your business

    • We provide the information to the buyers

    • We follow up with buyers to gauge their interest, provide additional data and answer any follow up questions

    • We request buyers submit an Indication of Interest (IOI) that addresses their proposed deal structure, timing, and post-transition plans

    • After a prescribed time, you select which suitor(s) you want to move forward with.

    • We work with you to qualify / disqualify buyers for the next step

    • Negotiate terms and decide which one of the final LOIs to accept and sign

    • All hands on deck for the whole team.  These are busy times!

  • The whole team has to work together to get this across the finish line. We work with all parties to get the job done:

      1. Buyer

      2. Seller

      3. Attorneys

      4. Accountants

      5. Lenders

      6. Landlord

      7. Insurance brokers
